The UBO register: who counts as a beneficial owner

Trace ownership to real people, distinguish ownership from control and maintain a usable change log for your registrar and bank.

The direct answer: identify people, not just shareholders

A UBO register identifies the natural persons behind a company's ownership or control. Cabinet Decision 109 of 2023 covers licensed UAE legal persons, including commercial free zones, subject to its exemptions. Financial free zones and specified government-related cases are excluded from this decision; do not assume that means no obligations under their own regimes.

Who is a beneficial owner

  • Identify natural persons with at least 25% direct or indirect ownership or voting rights.
  • Investigate control by other means, including rights to appoint or remove a majority of directors.
  • Use the senior-management fallback only after applying the identification steps; it is not a shortcut when records are inconvenient.

When to update it

Article 8 requires the register to be updated within 15 days of knowledge of a change. Record when the company became aware, what changed and the supporting evidence. Check your registrar's submission process separately; keeping a spreadsheet is not proof that the registrar received an update.

Make the ownership chain understandable

Draw one chain from the operating company through each corporate shareholder to the individuals. Mark ownership percentages, voting arrangements and any control rights separately. A company name at the top of the chart is a prompt for further investigation, not a completed answer.

For a simple arithmetic illustration, someone owning 60% of a holding company that owns 50% of the operating company has a 30% indirect interest through that chain: 60% × 50%. Multiple chains, joint interests and control arrangements need a fuller review; percentage multiplication alone does not identify every UBO.

A practical maintenance checklist

This checklist is a practical way to organise the work, not an exhaustive legal filing specification. Ask the relevant registrar which fields, attestations and attachments it requires. Restrict access to identity documents and use an agreed protected exchange channel.

Keep UBO, bank KYC and AML work connected but distinct

Use a reconciled ownership pack as the starting point for each process. If a bank requests further evidence, record the reason and supply the requested version rather than assuming a previous authority filing answers every question. Likewise, do not treat a completed UBO register as a complete AML programme.
